Role : Assistant Manager – Legal & Secretarial
Experience : 5-7 yrs
Location : Bangalore
Who are we looking for?
– Proven experience of 5-7 years as legal and company law compliance
– LLB /LLM and qualified company secretary (ACS)
– Knowledge of MS Office tools (MS Word, MS Excel etc.) is a must for managing legal documentation
– Excellent communication skills to engage with internal and external stake holders
– Exposure to handling corporate legal matters with hands on experience of drafting various kinds of legal agreements/ business contracts/JV agreements/ MOU etc
– Knowledge of corporate and allied laws (Labour laws and other applicable Industrial laws) with specialization in Companies Act and Rules, Processes and Guidelines thereunder
– Hands on experience of all types of MCA e-filing process, documentation and secretarial record keeping under various sections/rules under the Act
– Liaison with Advocates & Lawyers for court cases
– Well-versed with IPR laws and the procedures involved therein for registration of Trademarks, both domestic and global will have an advantage
– Working knowledge of litigation management in computer software industry would be advantageous
What will you be doing?
Legal :
– Draft basic agreements, review and vetting of agreements
– Draft responses to Govt and statutory authorities, and miscellaneous communication with stakeholders/customers
– Performing Impact Analysis of various applicable regulations, both existing and new, to indicate the implications on the company
– To help with registration of IPR (Trademarks) with the Registry of Trademarks, through external legal counsel
– To review/improve / enhance internal policies / procedures / documentation in accordance with Legal and regulatory requirements on an ongoing basis in consultation with key stakeholders
– Timely escalation to the reporting head, where necessary on significant legal risk items, and identifying remediation or mitigation measures for such legal risk items
Secretarial Compliance/Corporate Structure :
– Filing of all types of forms at MCA portal
– Preparation of minutes of board meetings, general meeting, etc
– Maintain updated records on a regular basis
– Maintaining statutory registers and records at the Registered office
