Position Title: Manager – Secretarial

Reports to: Divisional Head- secretarial

Department: Secretarial

Division: Corporate Office, Gurugram ( 5 days a week )

Key job role-

a) Ensuring Compliance’s under Companies Act, 2013, SEBI & FEMA laws

b) Preparation of Agendas/ minutes/ presentations/ resolution for statutory meetings like Board Meeting, Committee Meetings, AGM / EGM, Postal Ballots, etc.

c) Driving digital technology in Secretarial Department

d) Ensuring compliance of Insider Trading Regulations and Code of Conduct policy

e) Preparation & Maintenance of Statutory Records like Minutes, Statutory Registers

f) Co-ordination for Secretarial & Statutory Audit (both quarterly & annual)

g) Drafting of Annual Report documents like theme, DR, CGR, MDA etc.

h) Designing of Annual Report

i) Budgeting for Secretarial department plus expense management

j) Co-ordination for Familiarisation program and handling Performance Evaluation of Directors

k) Liasioning with various authorities, agencies, stakeholders and business partners

Mandatory :-

– Qualification – Company Secretary & Law graduate (Mandatory)

– Proficient in English Communication both spoken & written

– Proficiency in MS Windows (word, excel & PowerPoint)
